TERMS OF SERVICE

1. Legal Agreement & B2B Status

1.1 Binding Contract: These Terms of Service ("Terms") form a legally binding agreement between Circular Vector Ltd ("Company", "we", "us", "our") and the entity you represent ("User", "you").

1.2 Business-to-Business Service: FinanceMOT is a business-to-business (B2B) service. By using the Service, you represent that you are acting for purposes relating to your trade, business, or profession.

To the maximum extent permitted by law, consumer protection laws (including the UK Consumer Rights Act 2015) do not apply.

1.3 Authority: You represent that you have the authority to bind the entity you represent to these Terms.

2. Regulatory Status & No Financial Advice

2.1 Informational Tool Only: FinanceMOT is a mathematical and analytical software platform that processes financial data to generate KPIs, ratios, scores, and AI-generated outputs.

The Service is provided for informational purposes only and does not constitute financial advice, investment advice, tax advice, legal advice, or any form of recommendation.

The Service does not constitute a recommendation to take or refrain from taking any particular course of action.

Nothing in the Service creates a fiduciary relationship, advisory relationship, or duty of care.

2.2 No Reliance: You must not and agree not to treat any output (including any financial health score, KPI, insight, or commentary) as financial advice or as a substitute for independent professional advice.

2.3 Independent Verification: You are solely responsible for verifying all outputs and for obtaining appropriate professional advice before making any financial, business, tax, or strategic decision.

2.4 Not Regulated: Circular Vector Ltd is not authorised or regulated by the Financial Conduct Authority or any equivalent regulator.

We do not carry on any regulated activity under the Financial Services and Markets Act 2000.

3. The Service & AI Limitations

3.1 AI-Generated Outputs: Certain features of the Service use third-party artificial intelligence.

You acknowledge that AI-generated outputs are probabilistic and may contain errors, inaccuracies, biases, or logical flaws.

Outputs should not be relied upon without independent verification and professional advice.

We provide the Service on an "as is" and "as available" basis and make no representation or warranty as to the accuracy, completeness, reliability, or suitability of any output.

3.2 Service Availability: We do not guarantee that the Service will be uninterrupted, error-free, or continuously available.

We do not provide any service level commitments unless explicitly agreed in writing.

3.3 Data Backups & Loss: We implement reasonable backup measures but do not guarantee against data loss, corruption, or deletion.

You are responsible for maintaining your own backups of any data submitted to the Service.

4. User Data & Warranties

4.1 Data Responsibility: You are responsible for ensuring that you have the legal right to upload and process any data using the Service.

4.2 Accuracy of Inputs: You are solely responsible for the accuracy and completeness of all data uploaded. We do not verify or audit your data.

4.3 Licence to Use Data: You retain ownership of your data.

You grant us a non-exclusive, worldwide licence to process your data for the purpose of providing the Service and to use anonymised and aggregated data for analytics, benchmarking, and product improvement.

5. Third-Party Services

5.1 Use of Third Parties: The Service relies on third-party providers, including payment processors, hosting providers, authentication services, analytics providers, and AI providers.

5.2 No Responsibility for Third Parties: We are not responsible for the acts, omissions, performance, or failures of any third-party provider.

5.3 Third-Party Dependency: You acknowledge that third-party services may change, fail, or become unavailable at any time without notice.

We do not guarantee the continued availability, compatibility, or performance of any third-party service.

6. Fees, Billing & Trials

6.1 Subscriptions: Paid plans are billed in advance on a recurring basis via Stripe or other payment providers.

6.2 Trials: We may offer free trials at our discretion. We reserve the right to modify, limit, or terminate any trial at any time.

6.3 Changes to Plans & Pricing: We may change pricing, plans, or features at any time. Where changes are material, we will provide reasonable notice.

6.4 Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period unless otherwise stated.

6.5 Refunds: Fees are non-refundable except where required by law.

7. Account Terms

7.1 Account Information: You must provide accurate and complete information when creating an account.

7.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

7.3 Account Use: You must not share your account or allow unauthorised access.

7.4 Security Breaches: You must notify us immediately if you suspect unauthorised use of your account.

7.5 Age Requirement: You must be at least 18 years old to use the Service.

8. Indemnification

You agree to indemnify and hold harmless Circular Vector Ltd from any claims, damages, losses, liabilities, and regulatory fines (including those brought by third parties or regulators) arising from:

• your breach of these Terms
• the inaccuracy or unlawfulness of data you provide
• your use of or reliance on the Service outputs

9. Limitation of Liability

9.1 Excluded Losses: To the maximum extent permitted by law, we are not liable for any:

• loss of profits
• loss of revenue
• loss of anticipated savings
• loss of business opportunity
• indirect or consequential losses

9.2 Liability Cap: Our total aggregate liability is limited to the total fees paid by you in the 12 months preceding the claim (or £100 where no fees have been paid). Both parties agree this limitation is reasonable.

9.3 AI-Specific Limitation: To the maximum extent permitted by law, we shall not be liable for any loss arising from or in connection with AI-generated outputs, including any financial health score, KPI, insight, prediction, or recommendation.

9.4 Exceptions: Nothing in these Terms excludes liability for death, personal injury caused by negligence, or fraud.

10. Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or misuse the Service.

11. Changes to These Terms

We may update these Terms from time to time.

Where changes are material, we will notify you via email or through the Service.

If you do not agree to the updated Terms, you must stop using the Service.

Continued use of the Service constitutes acceptance of the updated Terms.

12. General

12.1 Governing Law: These Terms are governed by the laws of England and Wales.

12.2 Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction over any disputes.
